NEW YORK, March 13, 2026 — WeRide Inc. (“WeRide” or the “Company”) (Nasdaq: WRD; HKEx: 0800), a global leader in autonomous driving technology, today announced that all proposed resolutions submitted for shareholder approval (the “Proposed Resolutions”) as outlined in the February 6, 2026 notices for the extraordinary general meeting, Class A meeting, and Class B meeting were adopted at the meetings held today in Guangzhou, Guangdong Province, China.
With the adoption of the Proposed Resolutions, all related corporate authorizations and actions have been approved, including: (i) amending and restating the Company’s existing memorandum and articles of association by deleting them in full and replacing them with the ninth amended and restated version as shown in Part A of Appendix I to the Company’s circular dated February 6, 2026; (ii) granting the directors a general unconditional mandate to allot, issue, and handle additional Class A ordinary shares and/or resell treasury shares; (iii) granting the directors a general unconditional mandate to repurchase the Company’s own shares and/or American depositary shares under the terms and periods set forth in the extraordinary general meeting notice; and (iv) adopting the WeRide Inc. 2026 Share Plan.
