BEIJING, Nov. 13, 2025 — Sunlands Technology Group (NYSE: STG), referred to as “Sunlands” or “the Company,” a leading player in China’s adult online education and personal interest learning markets, announced today that its annual general meeting of shareholders (the “AGM”) will be held on December 19, 2025, at 3:00 pm (Beijing time). The physical location for the meeting is 7th Floor Building 6, Chaolai Science Park, No. 36 Chuangyuan Road, Chaoyang District, Beijing, the People’s Republic of China, with a virtual option available by telephone at + (10) 5808 – 4288. No resolutions will be put forward for shareholder approval, nor will any be deliberated, voted upon, adopted, or passed at the AGM. Instead, the AGM is designed as an open forum for shareholders and holders of American depositary shares (“ADSs”) to engage in discussions about Company affairs with management.
The Company’s Board of Directors has set the close of business on November 26, 2025 (Eastern Time) as the record date (the “Record Date”). This date will determine which shareholders are eligible to receive notice of and attend the AGM, or any adjourned or postponed sessions thereof.
Individuals holding record of the Company’s Class A, Class B, or Class C ordinary shares, each with a par value of US$0.00005, at the close of business on the Record Date, are eligible to attend the AGM and any adjournment or postponement thereof in person. Holders of the ADSs are also invited to attend the AGM in person.
